Terms & Conditions
The terms on which we sell to you, in plain terms — online, and in the showroom.
These Terms and Conditions form a binding agreement between you and Heriz Gallery CC (registration number 1999/060933/23), a close corporation registered in the Republic of South Africa. By using herizgallery.co.za or buying from us, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the site.

1Definitions
- 1.1Agreement — these Terms, together with any policy referred to in them, including the Returns & Refunds and Privacy policies.
- 1.2Business Day — any day other than a Saturday, Sunday or public holiday in South Africa.
- 1.3Customer / you — any person who visits, uses or buys through the site or the showroom.
- 1.4Goods — all rugs, furniture, décor, art and related products we sell or make available.
- 1.5Services — everything we offer through the site or in person, including browsing, ordering, support, cleaning, refurbishment and consulting.
- 1.6We / us / Heriz Gallery — Heriz Gallery CC.
2Who we are, and the law that applies
Heriz Gallery is a Persian and Oriental rug gallery, from a family business begun in Iran in the 1950s, with its showroom at The Straight Shopping Centre, Fourways, Johannesburg. These Terms are governed by South African law and are subject to the Consumer Protection Act (CPA), the Electronic Communications and Transactions Act (ECTA), and the Protection of Personal Information Act (POPIA). Nothing in these Terms limits any right you have under that legislation — where a term conflicts with your statutory rights, the law prevails.
3Using the site
- 3.1By using the site you confirm you are at least 18, or that a parent or guardian has consented on your behalf.
- 3.2You agree to use the site lawfully, and not for any fraudulent, harmful or abusive purpose.
- 3.3We may restrict or suspend access to the site if we reasonably believe it is being misused or these Terms are being breached. If we do, you may ask us in writing for our reasons, and we will respond within a reasonable time.
4Your account
- 4.1Browsing does not require an account, but placing an order may. Please keep your details accurate and current.
- 4.2You are responsible for keeping your login details confidential. Tell us promptly if you believe your account has been used without your permission.
5Our pieces, and prices
- 5.1We describe and photograph every piece as accurately as we can. Handmade and refurbished rugs vary in colour, tone and size from piece to piece and from screen to daylight; this natural variation is described in our Returns & Refunds policy and is not a defect.
- 5.2Prices are in South African Rand and include VAT where applicable. Delivery is shown separately at checkout.
- 5.3If a genuine pricing or description error affects your order, we will contact you before dispatch. You may proceed at the corrected price or cancel for a full refund. We do not treat an obvious error as a binding price.
6Orders and payment
- 6.1When you place an order you receive an acknowledgement that we have it. That is not yet acceptance — a contract of sale forms once we have verified payment and prepared your order for dispatch.
- 6.2We accept the payment methods shown at checkout, including Payfast and the other payment providers available there. Payment must be completed and verified before we process your order.
- 6.3We dispatch orders within 30 days of receiving them, as ECTA requires. If we cannot, we will tell you and refund you in full.
7Delivery, risk and ownership
- 7.1We deliver within South Africa. Delivery times are estimates and may be affected by matters outside our control.
- 7.2Ownership. The goods remain the property of Heriz Gallery until we have received full payment for them.
- 7.3Risk. Risk in the goods passes to you on delivery. Please inspect your rug on arrival and tell us within 48 hours if it has arrived damaged, so we can pursue the courier while the claim is live — as set out in our Returns & Refunds policy.
- 7.4If delivery is unreasonably delayed, you may have remedies under the CPA, including cancellation and a refund.
8Returns, exchanges and refunds
Your right to return an online order, including the 7-day cooling-off right under ECTA section 44, and your rights where a piece is faulty or not as described, are set out in full in our Returns & Refunds policy, which forms part of these Terms. Please read it. Where anything in these Terms and that policy appears to differ, the Returns & Refunds policy governs returns.
Your statutory rights are not affected by anything in these Terms. The cooling-off right for online purchases (ECTA s44) and your six-month right where goods fail in quality (CPA ss55–56) apply regardless of anything stated here.
9Goods taken on approval (in the showroom)
This section applies only to goods taken from the showroom on approval — not to online orders.
From time to time we allow a customer to take a piece home on approval (“appro”), to see it in their own space before deciding. Where you take goods on this basis and sign our in-store approval note, the following applies:
- 9.1By signing, you confirm you have inspected the piece in the presence of our staff and received it in good order, free of any defect, mark or stain you have noted.
- 9.2The goods remain our property, and must be returned to us in the same good order, on demand and in any event within 48 hours of collection, unless we agree a longer period in writing.
- 9.3You are responsible for transporting the goods to and from the gallery, and risk in them is yours from the moment they leave our premises. Any carrier you use is treated as your agent, not ours.
- 9.4If you keep the goods beyond the agreed approval period, you are treated as having bought them at the price on the approval note, and we may process the payment mandate you gave us when you signed it.
- 9.5We acknowledge return of goods only by our own written acceptance, and no other way. Please keep that acknowledgement.
- 9.6If goods are returned other than in good order, we may reasonably decline to accept them and treat them as sold to you. Whether a piece is damaged is assessed reasonably and in good faith, and you are free to dispute our assessment.
10Cleaning and repair
We take great care with every rug entrusted to us, and use only proven cleaning and repair methods. You should know, before leaving a piece with us, that:
- 10.1Older and used rugs carry hidden conditions. Certain weaknesses in the wool, dye or foundation only become apparent during cleaning or repair, and cannot be seen beforehand.
- 10.2Goods are accepted on the understanding that they are used and of second-hand value. To the extent the law permits us to limit our liability, and except where the CPA provides otherwise, any compensation for loss or damage arising from cleaning or repair is limited to twice the cleaning or repair charge.
- 10.3Nothing here excludes our liability where the law does not allow it to be excluded — including liability under CPA section 61 for harm caused by unsafe goods or services.
- 10.4Please raise any complaint about cleaning or repair with us within 48 hours of collection, so we can inspect the piece while the work is fresh.
11Intellectual property
- 11.1The site and its content — text, photographs, logos, design and code — belong to or are licensed by Heriz Gallery.
- 11.2You may not copy, reproduce, distribute or adapt our content without our written permission. Using the site gives you no rights in that content.
12Third-party links
The site may link to other websites for convenience. We do not control them and are not responsible for their content, security or policies. Please review their terms before using them.
13Our liability
- 13.1To the maximum extent South African law permits, we are not liable for indirect or consequential loss arising from your use of the site or the goods.
- 13.2Where our liability may lawfully be limited, it will not exceed the amount you paid for the piece or service the claim relates to.
- 13.3Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under the CPA or other applicable law.
14Indemnity
You agree to hold us harmless against claims and losses arising from your breach of these Terms, your misuse of the goods, or your infringement of another person's rights — except to the extent the law does not permit such an indemnity.
15Governing law and disputes
- 15.1These Terms are governed by the law of the Republic of South Africa, and you submit to the jurisdiction of its courts.
- 15.2If a dispute arises, let us try to resolve it with you first. If we cannot, the matter may be referred to mediation, and failing that to arbitration under the Arbitration Act, 1965. Either of us may still approach a court for urgent relief.
- 15.3You may also refer a consumer complaint to the Consumer Goods and Services Ombud or the National Consumer Commission.
16Notices
Our chosen address for legal notices (domicilium citandi et executandi) is The Straight Shopping Centre, Fourways, Johannesburg, 2146. Notices must be in writing and may be delivered by hand, by prepaid registered post, or by email to admin@herizgallery.co.za. Post is deemed received within five Business Days, hand delivery on the day, and email on the next Business Day after sending.
17General
- 17.1Severability. If any part of these Terms is found invalid or unenforceable, it is severed and the rest continues to apply.
- 17.2Waiver. If we do not enforce a right on one occasion, that does not waive it for the future.
- 17.3Changes. We may update these Terms for operational, legal or regulatory reasons. The current version is always the one posted here, dated at the top.
- 17.4Entire agreement. These Terms and the policies they refer to are the whole agreement between us about your use of the site and your purchases, and replace any earlier understanding.
